Setmos access is restricted and may be unavailable based on jurisdiction, investor status, sanctions exposure, wallet risk, product documentation, issuer policy, or onboarding review. Eligibility is evaluated before access is granted and may be re-evaluated over time.

Access principles

Setmos-related products and services are intended only for users who satisfy all applicable legal, regulatory, compliance, onboarding, and product-level requirements. Users may be prohibited or restricted from subscribing for, acquiring, holding, transferring, or redeeming Setmos related products if they are located in, organized under, acting from, acting for the benefit of, or otherwise connected to a prohibited or restricted jurisdiction, person, entity, wallet, or activity.

Prohibited jurisdictions

Setmos does not intend to make Setmos related products available to persons located or resident in, entities organized under the laws of, or entities with a principal place of business in jurisdictions that are prohibited by Setmos policy, issuer policy, sanctions programs, or applicable law. The prohibited jurisdiction list may include, without limitation:
  • Afghanistan
  • Belarus
  • Canada
  • Crimea, Donetsk, Luhansk, Kherson, Zaporizhzhia, and Sevastopol regions
  • Cuba
  • Democratic People’s Republic of Korea
  • Iran
  • Libya
  • Myanmar
  • Russia
  • Somalia
  • South Sudan
  • Sudan
  • Syria
  • United States and its states, territories, possessions, and federal districts, where restricted by product documents, issuer policy, or applicable law
US access and Global access may follow different product, issuer, and eligibility paths. A person may be eligible for one route and ineligible for another.

US persons

Setmos Global products are not intended for US persons or persons acting for the account or benefit of US persons where such access would be prohibited by product documents, securities laws, sanctions laws, issuer policy, or onboarding requirements. For purposes of Global access, restricted status may apply to persons located in the United States, persons placing orders from within the United States, US persons as defined under applicable securities rules, and persons acting for the account or benefit of such persons.

Sanctions and high-risk activity

Setmos may deny, suspend, restrict, or terminate access where a person, entity, wallet, beneficial owner, controller, counterparty, or related activity is associated with sanctions, prohibited activity, high-risk wallet activity, illicit finance indicators, or other compliance concerns. Restrictions may also apply where prohibited or restricted persons directly or indirectly own or control a significant portion of an entity.

Restricted jurisdictions

Some jurisdictions may not be prohibited outright but may require additional investor status, certifications, declarations, financial thresholds, professional investor status, accredited investor status, qualified purchaser status, or equivalent local eligibility evidence. Restricted persons may be required to provide documents or certifications showing that they satisfy the relevant eligibility requirements before access is granted.

Ongoing review

Approval is not permanent. Setmos, issuers, compliance providers, or service providers may re-screen users, wallets, beneficial owners, and transactions. Access may be limited, delayed, suspended, or revoked if continued participation may violate:
  • applicable law, rule, regulation, or sanctions restriction;
  • governing documents for a product or token;
  • issuer policies;
  • wallet policy or transfer controls;
  • onboarding certifications;
  • Setmos operating policies.
